The following conditions of sale, unless otherwise provided for by any agreements expressly made and recorded in writing, represent an integral part of any contractual supply relation which has, as its subject-matter, the products marketed by Multidronet.

1º - OBJET OF THE SALE – The materials’ characteristics are as outlined in the catalogues and price lists in force at the time of delivery. Descriptions and drawings are, however, of an informative nature; Multidronet reserves the right to make any technical modification, even without previous notice which, upon its unobjectionable discretion, may be necessary or useful.

2º - PRICES – The prices indicated in the list are understood as delivered ex factory, unless otherwise provided for by agreements made notwithstanding the existing provisions of the law and duly recorded in writing. The prices and conditions of sale shown on the list are not binding, and Multidronet reserves the right to change them, at any time, without prior notice. All consignments are considered to be accepted at the prices indicated in the official price list in force al the time of delivery. Prices, discounts and conditions of each single consignment are not binding with respect subsequent orders.

3º - DUTIES AND TAXES – The value-add tax (VAT), which is never included in the list prices, and any other duty and tax, even if applied during the performance of the contract, must be paid entirely by the buyer. The Buyer shall also pay for the following: A) stamp duties for bills or bank receipts issued B) contract recording and transcription fees C) all other charges connected to particular requests made by the Buyer or to non-fulfilment on the part of the same.

4º - PACKAGING – Packaging expenses will be added to the cost and cannot be returned.

5º - ORDERS – The orders taken through Multidronet agents, representative or salesmen are always subject to the unobjectionable discretion of the same Multidronet. Consequently, the above-mentioned orders shall be considered binding only after a written confirmation of the order is draw up by Multidronet.

6º - SHIPMENT – The goods are always shipped al the Buyer’s risk, notwithstanding the agreed upon conditions return.

7º - TERMS OF DELIVERY – The terms of delivery set at the closing of the contract are understood as terms of shipment of the goods from the factory. The date of shipment is understood as approximate and is not binding with respect to the Vendor, in particular, for delays caused by acts of God.

8º - CLAIMS AND COMPLAINTS – The buyer is responsible for checking the goods immediately after having received them. The goods will be considered fully accepted after 8 (eight) days from their arrival to the destination. Any claims related to the quality of the goods, under penalty of lapse, must be send in writing to Multidronet, by registered letter with return receipt or by telegram, within 8 (eight) days from the date of acceptance of the same goods. In case of claims related to running defects, and which can be verified only by operating the product, the conditions for presenting the written claim are within 30 (thirty) days from the date of acceptance of the goods (the document of shipment issued by the shipping agent will bear witness). In case the claim is accepted as valid, Multidronet will be responsible solely for replacing the goods, free port, while any other form of indemnity is excluded. Claims for any delays or damages caused by the shipping must be addressed to the carrier, upon delivery of the goods, making a written reserve on the same document of shipment which must then be notified immediately, in copy, to Multidronet.

9º - RESHIPMENT OF GOODS – Returns will not be accepted without prior authorisation, in writing, by Multidronet and unless they are shipped to the latter, free port an at the buyer’s risk, Multidronet’s shipping and transport agents are not authorised to accept the goods, nor to receive claims.

10º - INSTALLATION AND TEST – Installation of equipment marketed by Multidronet and related electric and water hook-ups will be charged to the Buyer. Any operations on the part of Multidronet qualified technician for the equipment’s initial running test, will be billed separately.

11º - CONDITIONS OF PAYMENT – In order to be valid, payments must be made directly to Multidronet. The validity of payments by drafts, bills or cheques are always understood as “subject to collection”. In case of payment after the agreed expiry dates, Multidronet shall apply overdue interests to the extend of 5 (five) points above the official discount rate determined by the Bank of Spain and in effect at the time of application of the same interests.

12º - RESERVED PROPERTY – The goods representing the subject-matter of this contract will be remain of the exclusive property of Multidronet until payment is performed in full.

13º - GUARANTEE – As far as the guarantee is concerned, the terms indicated in the “Guarantee Card” included in our products apply, unless otherwise provided for by any conditions, stipulated notwithstanding the existing provisions of the law, agreed upon by the parties by way of letter. Incorrect execution of both the installation and the use and maintenance of the equipment (as provided by the related instructions and safety booklets), will annul the guarantee. The guarantee will apply only if the Buyer has made all due payments.

14º - CONTROVERSIES – All controversies are to be dealt with under the jurisdiction of the Court of LlEIDA (Spain).
